1. Eligibility

• Have the legal capacity to enter into a binding contract.

By using the Service, you represent and warrant that you meet these requirements.

2. Description of the Service

Document Cepat is an online platform that helps users generate and manage business and official documents, including but not limited to:

• Invoices
• Quotations
• Receipts
• Delivery Orders / Job Sheets
• Terms & Conditions
• Return/Refund Policies
• Simple Service Agreements / Contracts

Some documents are generated using AI models provided by third-party service providers (e.g. OpenAI).

3. Your Responsibilities

You agree to:

• Provide accurate and complete information when using the Service.
• Use the Service only for lawful purposes and in compliance with applicable laws in Malaysia (and in your jurisdiction, if different).
• Be solely responsible for:
  • The content you input into the Service, and
  • The way you use any generated documents.

You must not:

• Use the Service to generate or transmit any content that is illegal, harmful, abusive, defamatory, or infringing.
• Attempt to gain unauthorised access to our systems, servers, or other users' data.
• Reverse engineer, decompile, or attempt to extract the source code of the Service.

4. No Legal or Professional Advice

You should consult a qualified professional or lawyer before relying on any document for important matters.

5. Accounts & Security

To use certain features, you may need to create an account.

You are responsible for:

• Maintaining the confidentiality of your login credentials.
• All activities that occur under your account.

You must notify us immediately if you suspect any unauthorised access or use of your account.

We reserve the right to suspend or terminate accounts that:

• Violate these Terms,
• Pose a security or risk issue to the Service or other users, or
• For any reason or no reason, at our sole discretion, with or without notice.

6. Plans, Pricing & Payments

We may offer:

• A free tier with limited features or usage; and
• Paid subscription plans (e.g. monthly or yearly).

Details of pricing, features, and limits will be shown on our website or within the Service and may be updated from time to time.

By subscribing to a paid plan, you agree to:

• Pay the applicable fees, taxes, and charges;
• Allow us or our payment provider to charge your selected payment method on a recurring basis (if applicable).

Unless stated otherwise:

• All fees are non-refundable.
• Your subscription will auto-renew at the end of each billing period until cancelled.

You are responsible for cancelling your subscription if you no longer wish to be billed.

7. Usage Limits

To protect the reliability of the Service and control costs, we may apply usage limits, such as:

• Number of documents generated
• Number of AI-generated documents per month
• Storage or bandwidth limits

We reserve the right to:

• Enforce, adjust, or modify these limits; and
• Restrict or suspend access if usage is abusive, excessive, or violates our policies.

8. Intellectual Property

We own all rights, title, and interest in and to:

• The Service
• The underlying software, design, trademarks, and branding

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to:

• Access and use the Service; and
• Use, download, and export documents generated by the Service for your own personal or business use.

You retain all rights to the content and data you provide to the Service and to the output documents generated for you, subject to any third-party rights.

You may not:

• Copy, modify, distribute, sell, or lease any part of the Service other than your own generated documents.
• Use our trademarks or branding without our prior written consent.

9. Third-Party Services & AI Providers

The Service may integrate with or rely on third-party services, including AI providers (e.g. OpenAI).

By using the Service, you acknowledge and agree that:

• Your input data and generated content may be processed by these third parties to provide the requested functionality.
• Such processing is subject to their terms and privacy policies.

We do not control and are not responsible for the availability, performance, or behaviour of these third-party services.

10. Data Privacy & Security

We collect, use, and protect your personal data in accordance with our Privacy Policy, which forms part of these Terms.

While we implement reasonable security measures to protect your data, no system is completely secure. You use the Service at your own risk.

11. Disclaimers

The Service is provided on an "as is" and "as available" basis.

To the fullest extent permitted by law, we disclaim all warranties, express or implied, including but not limited to:

• Fitness for a particular purpose
• Non-infringement
• Accuracy, reliability, or completeness of any content or output

We do not warrant that:

• The Service will be uninterrupted, secure, or error-free;
• The generated documents will meet your legal or business requirements;
• Any defects or issues will be corrected immediately.

12. Limitation of Liability

To the maximum extent permitted by law, we shall not be liable for:

• Any indirect, incidental, special, consequential, or punitive damages;
• Any loss of profits, revenue, data, or business opportunities;
• Any loss arising from your use of, or inability to use, the Service or generated documents.

In any case, our total aggregate liability arising out of or related to the Service shall not exceed the total amount you have paid to us in the last 3 months, or RM 100, whichever is higher.

13. Indemnity

You agree to indemnify and hold us harmless from any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of or related to:

• Your use of the Service;
• The content or data you provide;
• The documents you generate and use;
• Your breach of these Terms or any applicable law.

14. Changes to the Service and Terms

We may modify, suspend, or discontinue any part of the Service at any time, with or without notice.

We may also update these Terms from time to time. When we make material changes, we will:

• Update the "Last updated" date at the top; and
• Take reasonable steps to notify you (e.g. via email or in-app notice).

By continuing to use the Service after changes take effect, you agree to be bound by the updated Terms.

15. Termination

You may stop using the Service at any time.

We may suspend or terminate your access to the Service if:

• You violate these Terms;
• Your use poses a risk to other users or our infrastructure;
• We are required to do so by law; or
• For any reason or no reason, at our sole discretion, with or without notice.

Upon termination:

• Your right to access and use the Service will cease;
• We may retain or delete your data according to our Privacy Policy and legal obligations.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Malaysia, without regard to its conflict of law principles.

Any disputes arising out of or in connection with these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Malaysia.
